YANGA GLOBAL TECHNOLOGIES LTD. TERMS OF SERVICE

Welcome to Yanga Ride! These Terms of Service (“Terms”) govern your use of the Yanga Ride mobile application, website, and platform (collectively, the “Platform”), provided by Yanga Global Technologies Ltd., located at No. 14 Oyebanjo street, ketu, Lagos, Nigeria. You form a contract with us when you confirm your acceptance of these Terms or when you otherwise use the Platform. Your contract is with Yanga Global Technologies Ltd. (“Yanga”, “we”, “us”, or “our”). Supplemental terms may apply to specific features or services offered via the Platform. Our privacy practices are described in our Privacy Policy. By accepting these Terms, you expressly acknowledge and agree to our Privacy Policy, Safety Management System Policy, Payment Terms, Refund Policy, Non-Intoxication and Zero Tolerance Policy, Non-Discrimination and Accessibility Policy, Community Guidelines, and Cooperative Agreement. If you do not agree to these Terms, you may not access or use the Platform. Unless material changes are made to the arbitration provisions, you agree that modification of these Terms does not create a renewed opportunity to opt out of arbitration (if applicable).
1. Scope, Eligibility, and Modification of Terms
Yanga Global Technologies Ltd. is a technology company that provides a digital platform connecting independent Drivers and Clients. We do not provide transportation, logistics, courier, or any related services (“Services”). These Services are provided solely by independent Drivers using our Platform. Any decision to offer or accept a Service is made independently by the Driver or Client at their own risk. Yanga does not direct, control, or supervise Drivers in their provision of Services. Any feature, process, or effort we undertake to enhance your experience on the Platform is not an indication of an employment, agency, or partnership relationship with any User. These Terms do not supersede or impact any agreements Clients may have with Drivers regarding Services.
Our Platform links independent third-party Drivers with Clients seeking transportation or courier services. When a Client requests a ride or delivery, Drivers who see the request may accept the offered price or make a counteroffer. The Client may then choose a Driver from those who have expressed interest. A separate, binding agreement is formed between the Driver and Client once the Client confirms the Service request. The Client must pay the Driver the price agreed upon via the Platform. This agreed price includes all associated charges (e.g., fees, tolls, levies, taxes, service fees). Yanga does not participate in or influence the settlement between the Driver and Client. Yanga does not provide transportation or courier services directly.
We may modify these Terms at any time. Any changes will be effective as of the “Last Updated” date at the top of this page. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
2. License Grant and Restrictions and Intellectual Property
The Platform contains content (including design, images, text, databases, software, code, graphics, videos, trademarks, and the “look and feel”) owned or licensed by Yanga, protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Yanga and its licensors own all rights, title, and interest in and to the Platform and its Content.
Yanga grants you a limited, non-exclusive, non-transferable, non-assignable, revocable license to:
- Access and use the Platform on your personal device solely for the purpose of using the Platform; and
- Access and view any Content made available through the Platform, solely for your personal, non-commercial use.
You may not, and may not allow others to:
- Modify, reproduce, or create derivative works based on the Platform;
- Reverse engineer, decompile, disassemble, or attempt to discover the source code to build a competitive product, service, or copy ideas, features, functions, or graphics;
- Frame, link to, or mirror any part of the Platform on another server or device;
- Post, distribute, or reproduce any copyrighted material, trademarks, or proprietary information without Yanga’s prior written consent.
All rights not expressly granted are reserved by Yanga and its licensors. No rights are granted by implication, estoppel, or custom.
3. Account Registration
To access Platform functionality, you must create an account. You must be at least 18 years old and have the legal authority to enter into this agreement. You must provide accurate, current, and complete information during registration. We may reject any username, password, or email address we deem inappropriate, offensive, or in violation of these Terms. To prevent fraud and comply with applicable laws (including anti-money laundering and sanctions), we may request identity verification information at registration and from time to time thereafter.
We offer separate account types for Clients and Drivers. To register as a Driver, you must provide additional information and successfully complete a verification process, which includes:
- Document review by Yanga; and
- A background check conducted by a third party (collectively, “Verification”).
Processing of personal data is governed by our Privacy Policy. Yanga may charge Drivers a non-refundable fee for Verification. Verification typically takes up to seven (7) days but may take longer due to volume. Yanga is not liable for delays in the Verification process. Drivers are solely responsible for providing accurate and complete information. Yanga is not liable for failed or incomplete Verification due to inaccurate information provided by the Driver.
If you use the Platform in another country, you agree to be subject to Yanga’s Terms for that jurisdiction. You must promptly update your account details if they change, especially your mobile number. If you stop using your number, your mobile operator may reissue it to another person who could then access your account. You may not authorize others to use your account. You are solely responsible for maintaining the security of your device and login credentials and for all activity under your account. Immediately notify us if you suspect unauthorized access.
You may not sell, transfer, or assign your account or rights. You agree to create and maintain only one unique registered account and not to create a new account if your original account is suspended or terminated. We reserve the right to resolve any account disputes at our sole discretion. By registering, logging in, or using third-party integrations, you consent to those third parties sharing relevant information with us, and we may share registration information with them as needed.
4. User Provided Content
You are responsible for all information, files, and images (“Content”) you submit to the Platform. You must ensure your Content does not violate any laws or rights of others. We do not review or assume responsibility for User Content. You may not submit defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive Content, as determined by Yanga in its sole discretion. We may remove or restrict access to any Content we believe violates these Terms or harms Yanga, its Users, or third parties. We do not own your Content. By submitting Content, you grant Yanga a perpetual, irrevocable, worldwide, transferable, royalty-free, and non-exclusive license to use, reproduce, adapt, modify, translate, publish, display, and create derivative works of your Content for the purpose of operating and developing the Platform. You may rate and provide feedback on Drivers or Clients. Reviews must be truthful, fair, and accurate. Yanga may delete reviews deemed untrue, unfair, inaccurate, offensive, or inappropriate and may suspend your ability to post further reviews. We are not obligated to read every review.
5. Drivers
By providing Services as a Driver, you represent, warrant, and agree that:
- You possess a valid driver’s license and all required authorizations to operate a vehicle for hire, and are medically fit to provide Services. You must immediately notify Yanga if you lose any such license or qualification. Failure to maintain valid credentials may result in suspension or termination of your Driver account.
- You own or have legal right to operate the vehicle you use for Services. The vehicle must be in good working condition and meet all applicable safety and regulatory standards.
- You will only provide Services using the vehicle reported to Yanga.
- You will not permit anyone to accompany you in the vehicle while providing Services.
- You will not provide Services while under the influence of alcohol, drugs, or fatigue, or engage in unsafe or illegal behavior.
- You will not discriminate against Clients based on race, religion, gender, disability, sexual orientation, or any other protected characteristic.
- You will not engage in reckless or unsafe driving.
- You will not request any payment beyond the agreed price on the Platform.
- You are responsible for calculating, charging, and paying all applicable taxes arising from your Services.
- You will comply with Yanga’s reasonable requests for information related to your use of the Platform.
- You will not use information obtained via the Platform for any purpose unrelated to providing Services.
- You will comply with all applicable laws regarding anti-money laundering, sanctions, anti-corruption, anti-bribery, counter-terrorism financing, and prohibitions on child or forced labor.
- You will comply with all applicable Yanga policies in your jurisdiction.
- You must successfully complete any compulsory safety training required by Yanga before finalizing your registration.
- You must comply with all requirements of airports, transportation hubs, and government agencies.
- You must not do anything that would place Yanga in breach of any law or regulation.
6. Client and Driver Interactions
Each transportation or courier service provided by a Driver to a Client constitutes a separate agreement between those parties. Drivers choose whether to offer Services; Clients choose whether to accept them. Independent Drivers are not agents, employees, or representatives of Yanga. Any safety features or policies implemented by Yanga are not evidence of an employment or agency relationship. Yanga is not responsible for the acts or omissions of any Driver or Client, or for the quality, safety, or legality of any Service provided.
You must treat other Users with respect. Communication should be limited to matters directly related to the Service. Do not share unnecessary personal contact information. Communication should end once the Service is complete, unless returning a lost item. Other communication may be deemed harassment and lead to account suspension or termination.
We may enable communication via in-app chat, comments, or calls (availability varies by location). We reserve the right to monitor and record communications to ensure compliance with these Terms. If in-app communication is unavailable, you may contact another User via their mobile number provided in the App; standard mobile charges apply.
7. Payment Transactions
7.1. General Terms
Clients make an offer for a Service, including the route and price they are willing to pay. Drivers may accept the offer or make a counteroffer. A binding agreement is formed only when both parties agree on the price.
To use the Platform, Clients and Drivers must add valid credit/debit card and bank account details to their Yanga account. Drivers must maintain a valid, legally established bank account with an authorized deposit-taking institution in Nigeria. By providing payment details, you authorize Yanga or its payment processor to charge your designated payment method. Only payment methods specified by Yanga may be used.
If a Client has insufficient funds, Yanga may cancel the Service request at its discretion. Yanga may provide a recommended price based on distance and time. This is for informational purposes only and is not binding. All charges are in Nigerian Naira (NGN) and inclusive of applicable taxes where required by law. Clients and Drivers are responsible for all charges incurred on their accounts.
7.2. Client Payment Terms
Yanga may place a temporary authorization hold on your payment method to verify its validity. This is not a charge; funds remain in your account. If your primary payment method is invalid or expired, we may attempt to use a secondary method or contact you. If a temporary hold is canceled and payment is not successfully processed, you must complete payment to continue using the Platform.
Your payment for the Service includes all applicable taxes, fees, and charges. Payments are facilitated by Yanga on behalf of the Driver and are considered direct payments from Client to Driver. Tips are optional and not required. You may choose to tip a Driver after the Service is complete.
- Waiting Fees: If a Driver waits beyond a set time (determined by Yanga), a waiting fee may be automatically added to the agreed price. This fee is paid to the Driver, not Yanga. Waiting fees vary by location and are displayed in the App before confirmation. If the fee cannot be charged, it becomes an outstanding balance. You must settle outstanding waiting fees before requesting a new Service. Clients with disabilities who require extra time to board or alight, or to handle parcels, may request a refund for waiting fees by contacting Support. Clients who frequently accompany persons with disabilities may request a waiver of waiting fees for their account.
- Cancellation or No-Show Fees: You may be charged a fee if you cancel a confirmed request or fail to appear at the pickup location after the Driver arrives. The fee amount varies by location and is displayed before cancellation. This fee is paid to the Driver, not Yanga. If Yanga determines the cancellation was not your fault, you may be entitled to a refund.

- Airport Fees, Tolls, and Government Levies: These are automatically included in the quoted price if applicable. You must select designated pick-up zones at airports. You may choose non-toll routes if communicated with the Driver.
All quoted prices and applicable fees are final and non-refundable, except as provided in our Refund Policy or required by law.
7.3. Driver Payment Terms
Earnings from completed Services are held in your electronic Wallet within the Platform and transferred to your registered Nigerian bank account upon your request or via automatic transfer. You are responsible for providing accurate bank details. Yanga is not liable for failed transactions due to incorrect information or technical glitches. Without a verified bank account, you cannot receive earnings.
If a technical glitch results in an incorrect transaction to your Wallet, Yanga reserves the right to reverse the transaction and correct your balance. If reversal is not possible, Yanga may deduct the error from future earnings or seek restitution through legal means.
Drivers are responsible for collecting and remitting all applicable income-based taxes (including self-employment taxes) on earnings. Yanga is not liable for tax-related misconduct. Monthly tax summaries are available in your account.
Yanga may deduct from your earnings: (a) a license fee for Platform use, and (b) any taxes or amounts Yanga is required to withhold under applicable law. The license fee for each completed Service is charged when the Driver arrives at the pickup location or calls the Client before pressing “I have arrived.” Fee details are available in your account.
- Driver Refunds: If a Client cancels a Service or does not appear, the license fee may be refunded to your Wallet. You must select “The passenger didn’t come out” in the App to initiate this. Refunds are processed within 30 days of confirmation.
- Refunds to Clients: If Yanga issues a refund to a Client (e.g., due to a dispute), we will notify you of the amount and reason. Your Wallet balance may go negative. Yanga may deduct the owed amount from future earnings and may contact you to recover the balance.
7.4. Forfeiture Terms
Accounts inactive for over three (3) years may be deleted. If your Driver account is deleted (due to inactivity or your request) and you have a positive balance, you have six (6) months from the deletion date to request withdrawal of funds by contacting Support. If no request is made, the funds will be forfeited to Yanga.
8. Restricted Activities
You are prohibited from:
- Licensing, selling, reselling, transferring, or commercially exploiting the Platform or Software;
- Using the Platform in a way that infringes third-party rights (intellectual property, privacy, etc.);
- Using the Platform for any purpose not intended by these Terms;
- Reverse engineering, decompiling, or disassembling the Platform to build a competitive product;
- Scraping, indexing, data mining, or overloading the Platform;
- Using bots, spiders, or automated tools to collect or access data without permission;
- Transmitting viruses or other harmful code;
- Interfering with the operation or security of the Platform;
- Gaining unauthorized access to the Platform or its systems;
- Sending bulk unsolicited messages (spam);
- Creating a fraudulent User account, including for the purpose of receiving referral bonuses or other promotions;
- Misrepresenting or falsely advertising the Services;
- Encouraging, condoning, or committing illegal acts using the Platform;
- Providing false, misleading, or fraudulent information during registration or to Yanga Support;
- Committing fraud, including manipulating the App to simulate rides or alter trip costs;
- Soliciting other Users (Clients or Drivers) to use other, competitive services;
- Sharing your account credentials or allowing others to operate under your account;
- Failing to comply with all applicable local, state, and federal laws and regulations.
9. Suspension and Termination
Yanga may immediately suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have breached these Terms or any applicable law, policy, or agreement. This includes violations of the Community Guidelines, fraudulent activity, unsafe driving, or any other conduct that could harm Yanga, its Users, or third parties. Yanga is not required to disclose the reason for suspension or termination if disclosure would violate laws or compromise a security investigation.
If your access is terminated or suspended, you may not create a new account under your name or any other name without Yanga’s prior written consent. All licenses granted terminate automatically upon unauthorized use. You may delete your account at any time via App settings or by contacting Support. We may retain certain information for legal, security, or fraud prevention purposes. See our Privacy Policy for details on post-termination data handling. Accounts inactive for over three (3) years may be deleted.
10. Cooperation with Law Enforcement
We may investigate violations of these Terms and cooperate with law enforcement authorities. We have no obligation to monitor your use of the Platform but reserve the right to do so for operational, security, or legal compliance purposes.
11. Third-Party Services and Content
The Platform may link to or integrate with third-party services or content. We do not control these services and are not responsible for their products, services, or practices. Different terms and privacy policies apply.
12. Indemnification
You agree to defend, indemnify, and hold harmless Yanga, its officers, directors, employees, and agents from any claims, costs, damages, losses, or expenses (including legal fees) arising from: (a) Your violation of these Terms; (b) Your dealings with Drivers or Clients; (c) Your interactions with third parties; (d) Your use or misuse of the Platform; (e) Your User Content; or (f) Your Services.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." YANGA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YANGA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE RELIABILITY, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES OFFERED BY DRIVERS OR THE ACTIONS OF USERS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YANGA’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL BE LIMITED TO THE AMOUNT YOU HAVE PAID TO YANGA IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL YANGA OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, OR PERSONAL INJURY) ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY.
Yanga is not responsible for the acts or omissions of Drivers, Clients, or other third parties. Responsibility for all decisions made regarding Services rests solely with you. YOU EXPRESSLY WAIVE AND RELEASE YANGA FROM ANY AND ALL LIABILITY, CLAIMS, OR DAMAGES ARISING FROM OR RELATED TO THIRD PARTIES, INCLUDING DRIVERS, ADVERTISERS, OR SPONSORS.
15. Agreement to Arbitrate Disputes
THE LAWS OF CERTAIN JURISDICTIONS DO NOT ALLOW FOR MANDATORY ARBITRATION OR CLASS ACTION WAIVERS. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE PROVISIONS BELOW MAY NOT APPLY TO YOU AND YOU MAY HAVE ADDITIONAL RIGHTS.
I. GOVERNING LAW AND ARBITRATION
Arbitration under this agreement shall be in line with the provisions of the Arbitration and Mediation Act of Nigeria, 2023 (or its successor statute).
II. WAIVER OF JURY TRIAL
You and Yanga waive the right to a jury trial.
III. CLASS ACTION WAIVER: PROCEEDINGS IN INDIVIDUAL CAPACITY ONLY
You and Yanga agree that you will not file, join, or participate in any class, collective, representative, or aggregate lawsuit or arbitration. All claims must be brought individually. The arbitrator may not consolidate claims from multiple individuals or authorize class proceedings. Any challenge to the validity of this Section III must be determined by a court, not an arbitrator.
IV. HOW DOES ARBITRATION WORK?
STEP 1: NOTICE OF DISPUTE To initiate a dispute, you must submit a written Notice of Dispute to Yanga via support@yangatechltd.com. The notice must include your name, contact details, a description of the dispute, and the relief sought. Upon receipt, both parties will attempt informal resolution for 45 days.
STEP 2: ARBITRATION If unresolved, either party may initiate arbitration. Arbitration will be administered by the Lagos State Multi-Door Court House or its successor, under the Arbitration and Mediation Act of Nigeria, 2023. The arbitrator’s decision is final and binding.
V. GENERAL
Any dispute regarding the enforceability, interpretation, or validity of these Terms (except challenges to Section III) must be resolved through arbitration. If any court or arbitrator finds the right to compel arbitration unenforceable, you and Yanga agree that the unenforceability shall not be grounds to dismiss or disqualify any arbitration, and the court/arbitrator shall interpret this section to allow for a mechanism consistent with law.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of Nigeria. Any dispute, claim, or controversy arising out of or relating to incidents or accidents resulting in personal injury (including but not limited to sexual assault or harassment claims) that you allege occurred in connection with your use of the Platform shall be governed by and construed in accordance with the laws of the state or jurisdiction in which the incident or accident occurred.
17. General Provisions
- Assignment: You may not assign these Terms without Yanga’s prior written consent. Yanga may freely assign these Terms.
- Waiver: Failure to enforce a right does not constitute a waiver of that right.
- Severability: If any provision is found unenforceable, the remainder of the Terms remains in full force.
- Interpretation: Section headings are for convenience only and have no legal effect. These Terms are interpreted neutrally and fairly.
- Survival: Provisions related to dispute resolution, intellectual property, indemnification, and liability shall survive termination of your access to the Platform.
- No Joint Venture: No joint venture, partnership, employment, or agency relationship is created between you and Yanga by these Terms.
- Communications: By providing your email address and using the Platform, you consent to receive communications from Yanga via email, App notifications, or other reasonable means, including those sent by third parties acting on our behalf.
- Location-Based Services: Your location information is used solely to match you with Drivers/Clients. Even if you disable location services, Wi-Fi or Bluetooth networks may still be detected.
- Network Access and Devices: You are responsible for obtaining and paying for data network access and compatible hardware to use the Platform. Yanga does not guarantee Platform functionality on any specific device or operating system.
- Business Transactions: We may transfer your information, including User Content, in connection with a merger, acquisition, sale of assets, or other corporate transaction.
- Electronic Contracting: All agreements, notices, disclosures, and communications provided electronically satisfy any legal requirement for a writing. Your electronic acceptance or consent via the Platform constitutes your electronic signature and binds you as if you signed a paper document.
18. Additional License Terms
- Apple iOS: If you use the Yanga Ride App via the Apple App Store, these terms are between you and Yanga. Apple is a third-party beneficiary.
- Google Play: If you use the Yanga Ride App via Google Play, Google is not responsible for support. In the event of a conflict, the Google Play Developer Distribution Agreement shall prevail.
